KAISCEND License & Usage Terms

Welcome to KAISCEND. By purchasing, downloading, or using any KAISCEND video footage, overlays, transitions, sound effects, project files, or other digital assets (collectively, "Assets"), you agree to these License & Usage Terms (the "Terms"). If you do not agree, do not download, purchase, or use the Assets.

1. Definitions

Term	Meaning
You / Licensee	One natural person or one legal entity (e.g., a company or studio) completing the purchase or free checkout.
Project / End Product	A finished work (film, ad, YouTube video, social post, website, livestream, installation, app, etc.) in which the Assets are irrevocably integrated so that Raw Assets cannot be isolated or reused by end users through ordinary means.
Raw Assets	Original KAISCEND files (or any portion/derivative that remains reusable as stock media) in a form that allows extraction, reuse, or redistribution.
Seat / User	A natural person (employee or direct paid contractor) of the Licensee who may access Raw Assets solely to work on Licensee Projects.
Client	A third party who hires Licensee to deliver a Project. The Client may receive only the embedded Assets as part of the Project deliverables.

2. License Grant

Upon purchase, KAISCEND grants Licensee a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, edit, synchronize, display, broadcast, transmit, and distribute the Assets as integrated elements within Projects for personal, commercial, educational, or client work.

Single-Entity License

Granted to one person or one legal entity. You may allow your employees and direct, paid contractors to access Raw Assets only to work on your Projects. They must not keep Raw Assets after the engagement, store them on personal drives, or reuse them for other clients or personal work.

Client Work

You may deliver Projects to Clients with the Assets embedded. You must pass through to Clients that the Raw Assets cannot be extracted or reused outside the delivered Project.

Non-Transferability

This license may not be assigned, sublicensed, or transferred, except as part of a bona fide sale/merger of your entire business and (a) Raw Assets remain embedded in finished Projects; (b) the acquirer agrees in writing to be bound by these Terms.

3. Permitted Uses

You may, without additional permission:

• Embed the Assets in an unlimited number of Projects
• Monetize Projects on any platform (YouTube ads, broadcast, theatrical, OTT/VOD, social, paid downloads, NFTs)
• Modify, color-grade, composite, combine with other media, or otherwise transform the Assets within Projects
• Share rendered preview files internally or with clients strictly for review/approval

4. Prohibited Uses (What You May Not Do)

You may not:

• Resell, redistribute, gift, share, upload, or make Raw Assets available—alone, in part, or inside another stock bundle, template, theme, or library
• Use Raw Assets, in whole or in part, to train, fine-tune, or evaluate any machine-learning or AI system (including building datasets, embeddings, "style" learning, diffusion priors, or similar). Normal creative edits inside Projects are allowed
• Store Raw Assets in any multi-tenant or per-seat SaaS library accessible to unrelated third parties or end clients (e.g., shared libraries used by multiple companies). Licensee-controlled cloud storage is permitted only if access is restricted to Licensee Seats
• Use bots, scrapers, or mass-downloaders on KAISCEND systems
• Claim, register, or enforce any IP (e.g., copyright, trademark) in the Assets themselves, or use Assets as a trademark or logo
• Use the Assets to create a competing stock/media pack or template set that substantially replicates the look/feel of the Assets
• Use the Assets in any manner that is defamatory, obscene, hateful, harassing, discriminatory, unlawful, or that violates third-party moral rights, privacy, publicity, or other rights
• Portray identifiable people or private locations in misleading or unflattering ways without proper releases and context
• Circumvent technical protections, watermarks, or file identifiers

5. Ownership & Intellectual Property

All rights, title, and interest in the Assets remain the exclusive property of KAISCEND and/or its creators. No ownership transfers—only the limited license above.

6. Third-Party Materials

Some Assets may include or derive from third-party materials. Those portions remain subject to their original licenses and any additional terms provided.

7. Public Places, Brands & Likenesses

Assets may depict public spaces. KAISCEND does not provide model, property, trademark, or location releases. You are responsible for any additional permissions needed for your use, including music, fonts, trademarks, and likeness rights in your Project.

8. Indemnification & Liability

Indemnity

You agree to defend, indemnify, and hold harmless KAISCEND, its owners, employees, and suppliers from claims arising from (a) your use of the Assets; (b) your breach of these Terms; (c) Projects incorporating the Assets.

Limitation of Liability

To the maximum extent allowed by law, KAISCEND is not liable for indirect, incidental, punitive, special, or consequential damages or lost profits. KAISCEND's total cumulative liability will not exceed the amount paid for the specific Asset giving rise to the claim.

No Warranties

Assets are provided "as is" without warranties, including merchantability, fitness for a particular purpose, or non-infringement.

9. Termination

KAISCEND may terminate this license if you breach these Terms. Upon termination, you must cease all use of Raw Assets and destroy copies. Projects made in compliance before termination may continue to exist and be exploited.

If a payment is reversed or charged back, this license automatically terminates.

10. Refunds

All sales are final. At our discretion we may replace files or refund if an Asset is proven defective and we cannot remedy. Where applicable law grants a right of withdrawal for digital content, you acknowledge that download or streaming constitutes immediate performance and you waive that withdrawal right once delivery starts.

11. Updates

We may update these Terms and/or Assets periodically. The latest Terms are posted at kaiscend.com. Continued use after an update constitutes acceptance.

Free Updates Policy (Clarified):

Master Bundle: Free content updates twice per calendar year for 24 months from purchase on the packs included at checkout.

Urban Transitions Packs: Free content updates twice per calendar year for 12 months from purchase.

New packs released later are not included. Update content may include new or refined clips, improved color/audio, organization, and bug fixes. We may deprecate formats or replace files for legal/quality reasons. Backward compatibility is not guaranteed, but we try to maintain practical usability.

Pricing changes do not affect existing customers' update entitlements during their window ("grandfathered" for the period above).

12. Governing Law & Jurisdiction

These Terms are governed by the laws of KAISCEND's Home Jurisdiction, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the courts located in the Home Jurisdiction for any action not subject to arbitration. "Home Jurisdiction" means the jurisdiction of KAISCEND's principal place of business. KAISCEND may seek injunctive or other equitable relief for actual or threatened IP misuse or piracy in any court of competent jurisdiction. Nothing in this Section limits any non-waivable consumer rights under the mandatory laws of your place of habitual residence.

13. Class-Action & Jury-Trial Waiver

To the fullest extent permitted by law, both parties waive (a) class/collective/consolidated/representative actions; and (b) jury trial. Disputes are litigated individually.

14. Reference & Showcase Usage

You agree KAISCEND may reference and showcase Projects incorporating the Assets (e.g., site, portfolio, social, decks, talks) across KAISCEND platforms, including social media, email, and website. If a specific Project requires confidentiality, email a request before public launch to support@kaiscend.com.

15. Compliance, Export & Sanctions

You must comply with applicable laws, including export controls and sanctions. You may not use Assets in, or for the benefit of, embargoed or sanctioned persons/regions.

16. Certification; Anti-Piracy

On reasonable written request (no more than once per year), you agree to provide a written certification of compliance. We may include non-personally-identifiable file identifiers to help detect piracy.

17. Miscellaneous

These Terms constitute the entire agreement, superseding prior terms. If any provision is unenforceable, the rest remain in force. Headings are for convenience only. Sections 4–9, 11–17 survive termination. No waiver is implied by delay or omission. English controls in case of translation inconsistencies.

❌ No: Don't share or resell Raw Assets, don't use them to train AI, don't park them in multi-tenant libraries.

🔄 Updates: Master Bundle gets 2 free updates/year for 24 months on packs included at purchase. New packs released later are not included. Urban Transitions Packs get 2 free updates/year for 12 months.

👥 Clients: Hand off finished edits; clients can't extract our Raw Assets.
